In no event shall baseflows' total liability to you exceed the amount you paid to baseflows in the twelve months preceding the claim.

We do not warrant that:

Indemnification

You agree to defend, indemnify, and hold harmless baseflows, its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgements, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your violation of these Terms or your use of the Services.

Termination

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including but not limited to a breach of the Terms.

You may terminate your account at any time by contacting us at legal@baseflows.biz. Upon termination, your right to use the Services will cease immediately.

All provisions of the Terms which by their nature should survive termination shall survive termination, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law

These Terms shall be interpreted and governed by the laws of Slovenia, without regard to conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the competent courts of Slovenia, and you hereby consent to personal jurisdiction and venue therein.

For users within the European Union, these Terms are subject to applicable EU consumer protection laws and regulations.

Dispute Resolution

In the event of any dispute arising out of or relating to these Terms or the Services, the parties agree to first attempt to resolve the dispute through good faith negotiations. If the dispute cannot be resolved through negotiations within 30 days, it may be submitted to binding arbitration in accordance with Slovenian arbitration law.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
